Terms of Service

1. Acceptance of Terms

By engaging, accessing, or using the digital services provided by Asid Technology (Trade Name: Asid), you explicitly agree to be legally bound by these Terms of Service. If you do not accept these terms in full, you must refrain from engaging our development, consulting, or cloud services.

2. Scope of IT Services & Milestone Delivery

Asid Technology provides software engineering across Web Development, Mobile Apps, Cloud Solutions, and IT Consulting.

• Scope Creep & Revisions: All work is governed exclusively by the agreed Statement of Work (SOW) or project proposal. Any feature, revision, or change request outside the initial scope will require a separate quote and cost adjustment.
• Client Delay Protection: Project delivery schedules depend on timely inputs, feedback, and approvals from the client. Delays caused by client inaction automatically extend delivery deadlines without penalty to Asid Technology.

3. Payment Terms, Non-Refundability & Late Fees

• Upfront Deposits: Initial deposits (e.g., 40% project kickoff payment) are strictly non-refundable once work on the project has commenced.
• Ownership Retention: Full source code, deployment assets, administrative permissions, and intellectual property remain the exclusive property of Asid Technology until all milestone invoices are paid in full.
• Overdue Payments: Invoices unpaid after 7 calendar days from the due date are subject to a 2% monthly late fee. Asid Technology reserves the right to suspend development, turn off staging servers, or freeze ongoing maintenance upon payment default.
• Taxes: All domestic services are subject to applicable GST (07NHBPS4275L1ZJ).

4. Intellectual Property & Pre-Existing Assets

Upon complete final payment, intellectual property rights to the bespoke software built specifically for the project transfer to the client. However, Asid Technology retains ownership over pre-existing core components, proprietary developer libraries, open-source dependencies, and backend frameworks integrated into the build. The client is granted a perpetual, non-exclusive license to use these embedded core frameworks.

5. Third-Party Services & Dependencies

Our builds may rely on third-party APIs, cloud providers (e.g., AWS, GCP, Vercel), domain registrars, or external software tools. Asid Technology assumes no liability for downtime, price modifications, policy changes, or breaking updates caused by third-party providers or external API services.

6. Strict Limitation of Liability

To the maximum extent permitted by applicable law, Asid Technology shall not be liable for any indirect, incidental, consequential, or lost profit damages arising out of system downtime, data breaches, server failure, or software bugs. In all cases, Asid Technology's total aggregate liability shall be strictly limited to the actual amount paid by the client to Asid Technology for the specific service in dispute.

7. Warranty Disclaimer & Post-Launch Support

All software is provided "as-is" following client testing and sign-off. Post-launch support applies strictly for the duration specified in the client’s chosen service plan (e.g., 30–90 days). Any code modifications made by the client or external third-party developers after delivery voids all remaining post-launch support and performance guarantees.

8. Portfolio Display Rights

Unless explicitly restricted by a signed Non-Disclosure Agreement (NDA), Asid Technology reserves the right to display completed project screenshots, case study write-ups, and the client’s company logo in its corporate portfolio and promotional media.

9. Governing Law & Jurisdiction

These terms shall be governed by and construed under the laws of India. Any legal proceedings, disputes, or claims arising out of or in connection with our services shall be subject to the exclusive jurisdiction of the courts located in New Delhi, India.
